Buyer and Seller Agreement

Draft for legal review. This agreement needs legal review before public use, especially auction enforceability and state-specific equine-sale requirements.

Version: 2026-10-24-v1

1. Seller responsibilities

Sellers must have authority to sell each horse and accurately disclose material information they know, including identification, ownership, pedigree, health, racing history, and any restrictions or liens. Sellers must respond in good faith to buyer inquiries.

2. Buyer responsibilities

Buyers should independently verify listing details and arrange any desired veterinary examination, records review, or other due diligence before committing to purchase.

3. Auctions and bids

By placing a bid, a bidder represents that they intend and are able to complete the purchase if they win, subject to the posted auction terms and applicable law. Sellers must clearly state any reserve price or additional conditions. Final bidding and closing rules must be clearly displayed on the listing.

4. Sale completion

Buyer and seller must agree directly on payment method, timing, transport, possession, registration papers, and any inspection or return terms. WinnersOver does not currently hold purchase funds in escrow or guarantee payment.

5. Contact information

Sellers understand that the contact details attached to their listing may be made available to interested buyers so they can communicate about the horse. Do not submit a number or address you are unwilling to share for this purpose.

6. Disputes

Users should first attempt to resolve transaction disputes directly. Fraudulent conduct or site-rule violations may be reported to WinnersOver. Legal remedies depend on the parties' agreement and applicable law.

7. Further terms

Before launch, counsel should finalize bidding increments, bid retractions, reserves, auction extensions, payment deadlines, defaults, fees, and liability allocations.
